Who we are and how to reach us
The service at expertmatcher.com (ExpertMatcher) is operated by the administrator of the expertmatcher.com service. Notices and questions about these terms go to [email protected].
Acceptance of these terms
By creating an account or using the service you agree to these terms, the privacy policy and the refund policy. If you use the service on behalf of a company, you confirm that you are authorized to bind that company, and "you" means the company. You must be at least 18 to use the service.
What ExpertMatcher does
ExpertMatcher is an online marketplace. Companies describe a problem or project, the service builds a match brief and shortlists verified experts, and the parties arrange paid calls, projects and fractional or interim engagements through the platform with NDA, SOW, payment, invoicing, payout and rating tools.
The platform is not an employer or an agency
ExpertMatcher is not a party to the engagements between companies and experts. We do not employ experts, direct their work, guarantee results or act as a staffing agency. Experts act as independent contractors (or through their own business) and are responsible for their own taxes, insurance, licenses and compliance with professional rules. Companies are responsible for deciding whom to engage and for the use they make of an expert's work.
Accounts and seats
You must give accurate information, keep your password and sign in codes private and tell us about any unauthorized use. Seats are for named individuals and may not be shared. You are responsible for activity under your account and your seats.
Expert verification and profiles
Experts must pass identity, work history, reference and certification checks before entering matching and must keep their profile, rate card and availability accurate. Verification confirms what was checked at the time of the check; it is not a guarantee of quality or a professional endorsement. We may suspend a profile that contains false information.
Matching and AI output
Match briefs, fit scores and match explanations are generated with the help of AI and are aids to your decision. They may be incomplete or wrong. You decide whom to contact and engage, and you should review every profile and proposal yourself.
NDA and confidentiality
Before an expert sees the full details of a brief, the expert signs an NDA in the platform. Companies and experts must keep confidential information received through the service confidential and use it only for the engagement. Confidentiality duties survive the end of an engagement and of your account.
Engagements and the statement of work
Every project or fractional engagement is governed by a SOW agreed between the company and the expert in the platform, covering scope, deliverables, milestones or days per week, rates, acceptance and intellectual property. Expert calls are governed by the booking terms shown at checkout (length, price and cancellation window). The SOW is a contract between the company and the expert, and ExpertMatcher is not a party to it.
Intellectual property in deliverables
Unless the SOW says otherwise, the expert assigns to the company the intellectual property in deliverables created for the company once the related payment is made, and keeps ownership of pre-existing materials, know-how and general tools, granting the company a license to use them as part of the deliverables.
Subscriptions
Company plans (Starter, Growth, Scale, Enterprise) and expert plans (Expert, Expert Pro) are subscriptions billed monthly or yearly in advance at the prices shown on ExpertMatcher pricing. A subscription renews automatically at the end of each period until you cancel it. You can cancel at any time in your account settings, and cancellation stops the next renewal; the plan stays active until the end of the paid period. We may change prices for future periods with at least 30 days notice by email; the new price applies from your next renewal.
Plan limits
Each plan has limits, such as active briefs, experts per shortlist and seats. Active briefs are limited at a time. Closing a finished brief frees a slot for the next one, deleting a brief does not, and matching runs count toward the plan for the billing period. Moving to a higher plan is charged immediately for the difference; moving to a lower plan takes effect at the next renewal without a refund.
Platform fee
For every expert call, project milestone, timesheet or retainer paid through the platform, the company pays the expert's price plus the platform fee of its plan (12 percent on Starter, 9 percent on Growth, 6 percent on Scale, 4 percent on Enterprise), shown on the booking and the invoice. A fee on expert earnings, 8 percent on Expert and 5 percent on Expert Pro, is deducted from payouts and is never added to the company invoice.
Payments and payouts
Companies pay by card or ACH through our payment processor. Funds for a call are collected at booking; funds for milestones and timesheets are collected when the company approves them or as set out in the SOW. Experts receive payouts after a call is completed or a milestone or timesheet is approved, less the fee on earnings for their plan: 8% on Expert and 5% on Expert Pro. The fee is deducted from the payout and never added to the company invoice. Experts must provide tax forms (W-9 or W-8BEN); we issue 1099 forms to US experts where required. Payments are final as set out in the refund policy.
Non-circumvention
The platform fee pays for finding the match. For 12 months after a company and an expert are first introduced through ExpertMatcher, they agree to arrange paid work between them through the platform. They may move the relationship off the platform earlier by paying a conversion fee equal to the platform fee on the first 12 months of the expected engagement value, as agreed in the platform. This clause does not restrict an expert from working with a company the expert already worked with before the introduction, if the expert can show that prior relationship.
Ratings
Only a company that completed a call or approved a milestone or timesheet can rate the expert for that engagement, and experts may reply publicly. Ratings must be honest, based on the actual engagement and free of personal attacks, confidential information and offers of payment in exchange for ratings. We remove ratings that break these rules but we do not remove ratings because they are negative.
Acceptable use
You may not use the service to post false information, impersonate anyone, harass others, share content you have no right to share, collect data about other users without permission, solicit material non-public information for securities trading, break any law, try to bypass security, scrape the service or overload it, or use it to recruit employees in place of engagements without our agreement.
Suspension and termination
We may suspend or close an account that breaks these terms, puts other users at risk or is used for fraud. You may close your account at any time by writing to [email protected]. Closing an account does not cancel payments due for completed work or the obligations that by their nature survive, such as confidentiality, non-circumvention, payment and liability terms.
Disclaimers
The service is provided as is and as available. We do not guarantee that a suitable expert is available for every brief, that the service is uninterrupted or error free, or any result of an engagement. Experts alone are responsible for the advice and work they provide.
Limitation of liability
To the maximum extent permitted by law, ExpertMatcher is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the service or from any engagement. Our total liability for any claim relating to the service is limited to the subscription fees and platform fees you paid to us in the 12 months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
Indemnity
You agree to indemnify ExpertMatcher against third party claims arising from your breach of these terms, your engagements or your content, including reasonable legal costs.
Disputes between companies and experts
If a company and an expert disagree about a call, milestone or timesheet, either of them may open a dispute in the platform before the related payout is released. We review the SOW, booking terms and messages and may hold the disputed amount until the parties agree or the review is complete. Our review is not legal arbitration and does not prevent the parties from pursuing their rights under applicable law.
Disputes with ExpertMatcher
If you have a dispute with ExpertMatcher, write to [email protected] first and we will try in good faith to resolve it through negotiation. If we cannot resolve it within 60 days, either side may pursue the matter under applicable law.
Changes to these terms
We may update these terms. We post the new version on this page with a new date and email account holders about material changes at least 30 days before they apply. If you keep using the service after that date, the updated terms apply; if you do not agree, you may cancel before the change takes effect.
Miscellaneous
If any part of these terms is found unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver. You may not assign these terms without our consent. These terms, together with the privacy policy and refund policy, are the entire agreement between you and ExpertMatcher about the service.
